1. Acceptance of Terms

By accessing or using our website, products, or services (collectively, the “Service”), you agree to these Terms & Conditions (“Terms”). If you use the Service on behalf of an organization, you represent that you have authority to bind that organization. If you do not agree, do not use the Service.

2. Accounts

To access certain features, you must create an account using an accepted authentication provider (e.g., Google). You are responsible for all activity under your account and for maintaining the confidentiality of your login credentials. We may suspend or terminate accounts that violate these Terms or pose security risks.

3. User Content

You retain ownership of all documents, notes, quotes, and other materials you upload (“User Content”). By submitting or storing content on the Service, you grant Pentathlos a limited, non-exclusive, worldwide license to host, process, and display your content as necessary to provide and improve the Service.

When you intentionally publish or share content—such as quotes, excerpts, or highlights—you grant Pentathlos a non-exclusive, transferable, sublicensable, worldwide license to host, reproduce, distribute, and create derivative works of that content for features such as public APIs or quote discovery tools. You may delete shared content at any time; cached or archived versions may persist briefly.

You agree not to upload content that is illegal, defamatory, infringing, or that violates the rights of others. We reserve the right to remove or disable access to any content that violates these Terms.

4. Acceptable Use

You may not use the Service to interfere with, damage, or disrupt systems or networks, to reverse-engineer the platform, to scrape data at scale, or to gain unauthorized access to any account or information. Abuse of the platform or attempts to circumvent restrictions may result in termination.

5. Service Changes

We may modify, suspend, or discontinue parts of the Service at any time, with notice where reasonably possible. We are not liable for such changes where they are necessary, lawful, or commercially reasonable.

6. Subscriptions & Billing

• All paid plans are processed securely through Stripe Checkout.
• Subscriptions renew automatically unless canceled before the renewal date.
• Taxes may apply depending on your jurisdiction.
• Refunds are handled at our discretion, unless required by law.

7. Third-Party Services

The Service integrates with third-party providers such as Stripe and Google Analytics. Those services are governed by their own terms and privacy policies. Pentathlos is not responsible for their actions or omissions.

8. Intellectual Property

All software, design, and content of the Service—excluding User Content—are the property of Pentathlos Solutions or its licensors. You receive a limited, non-transferable license to use the Service for its intended purposes in accordance with these Terms.

9. Feedback

If you submit feedback, ideas, or suggestions, you grant Pentathlos a perpetual, irrevocable, royalty-free license to use them for any purpose without restriction or obligation.

To the maximum extent permitted by law, Pentathlos and its affiliates shall not be liable for any indirect, incidental, consequential, special, or punitive damages, or any loss of profits, revenue, data, or goodwill arising from or related to your use of the Service. In all cases, our total liability shall not exceed the amount you paid to Pentathlos in the 12 months preceding the claim.

12. Indemnification

You agree to defend, indemnify, and hold harmless Pentathlos, its officers, employees, and affiliates from any claims, damages, or expenses arising out of your content, your use of the Service, or your violation of these Terms.

13. Termination

You may stop using the Service at any time. We may suspend or terminate access if you violate these Terms or pose a risk to the platform or others. Upon termination, your right to use the Service ceases immediately, though licenses granted for previously shared quotes may remain active for product continuity.

14. Governing Law & Jurisdiction

These Terms are governed by the laws of the State of Ohio and applicable United States federal law, without regard to conflicts of law. Exclusive jurisdiction and venue shall be in state or federal courts located in Franklin County, Ohio.

15. Changes to Terms

We may update these Terms periodically. The “Effective date” will reflect the latest revision. Continued use of the Service after changes take effect constitutes acceptance of the updated Terms.
